Terms of Service

These Terms of Service ("Terms") govern your access to and use of Growwly (the "Service"), including our website, web application, free tools (such as Channel Audit, RPM Estimator, and Channel Health Snapshot), browser extension, blog, and any related services (collectively, the "Service"), operated by One Dollar Code, Inc. ("Growwly", "we", "us", or "our"), a company incorporated in the State of Delaware, United States, accessible at growwly.co.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.


1. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to use the Service. By using Growwly, you represent that you meet this requirement and that you have the authority to enter into these Terms on behalf of yourself or the entity you represent.


2. Description of the Service

Growwly is a YouTube channel intelligence platform that provides analytics, competitive insights, and monetization intelligence to YouTube creators and channel owners, including but not limited to:

Growwly is an independent analytics and productivity tool. Growwly is not affiliated with, endorsed by, or sponsored by YouTube or Google LLC. "YouTube" is a trademark of Google LLC.


3. Accounts and Google/YouTube OAuth Access

3.1 Account Registration

To access certain features, you must create an account and provide accurate, current information. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

3.2 Connecting Your YouTube Channel

Growwly allows you to connect your YouTube channel via Google OAuth. By connecting your account, you authorize Growwly to access certain data made available through the YouTube Data API and related Google APIs (such as channel metadata, video statistics, and analytics), strictly for the purpose of providing the Service to you.

3.3 Google API Services Compliance

Growwly's use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements. You may revoke Growwly's access to your Google account at any time via your Google Account security settings.

3.4 Disconnecting Your Account

You may disconnect your YouTube account from Growwly at any time through your account settings. Disconnection will stop future data collection but does not automatically delete previously collected data (see our Privacy Policy for deletion requests).


4. Browser Extension

Growwly offers an optional browser extension (Chrome/Edge, Manifest V3) that supplements our API-based data collection by reading publicly rendered page data (such as ytInitialData and related in-page structures) while you browse YouTube, in order to work around API quota limitations.

5. Subscription Plans, Billing, and Payments

5.1 Freemium Model

Growwly offers both free and paid subscription tiers. Free tier features and limits are described on our pricing page and may change from time to time.

5.2 Paid Subscriptions

Paid plans are billed on a recurring basis (monthly or annually, as selected) through our payment processor, Stripe. By subscribing, you authorize us (via Stripe) to charge your chosen payment method on a recurring basis until you cancel.

5.3 Price Changes

We may change subscription prices with at least 30 days' advance notice. Continued use of a paid plan after a price change takes effect constitutes acceptance of the new price.

5.4 Cancellations

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing cycle; we do not provide prorated refunds for partial billing periods except as required by law.

5.5 Refunds

Except where required by applicable law, all fees are non-refundable. Refund requests are considered on a case-by-case basis at our sole discretion.

5.6 Failed Payments

If a payment fails, we may suspend or downgrade your access to paid features until payment is successfully processed.

7. Intellectual Property

7.1 Our IP

The Service, including its software, design, trademarks, logos, and original content (excluding YouTube data and user-submitted content), is owned by Growwly and protected by intellectual property laws. You may not copy, modify, or create derivative works without our written permission.

7.2 Your Content

You retain ownership of any content you submit to the Service (e.g., notes, saved reports). By submitting content, you grant Growwly a limited, non-exclusive, worldwide license to use, host, and display that content solely to operate and improve the Service.

7.3 Third-Party Data

YouTube channel and video data accessed through Google APIs remains the property of the respective channel owners and/or Google LLC. Growwly's analysis, scoring, and derived insights are proprietary to Growwly.


8. Third-Party Services

The Service integrates with third-party providers, including but not limited to Google/YouTube APIs, Stripe (payments), Cloudflare (infrastructure), and Supabase (data storage). Your use of these integrations is also subject to the respective third party's terms and privacy policies. We are not responsible for the acts or omissions of third-party providers.


9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Growwly provides estimates, projections (e.g., RPM estimates, monetization intelligence), and recommendations based on available data. These are estimates only and do not guarantee any specific outcome, revenue, or channel growth. You are solely responsible for decisions made based on Growwly's insights.

We do not guarantee uninterrupted or error-free operation of the Service, and features may change, be limited, or be discontinued at any time.


10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GROWWLY AND ITS OWNERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO GROWWLY IN THE 12 MONTHS PRECEDING THE CLAIM, OR USD 100, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.


11. Indemnification

You agree to indemnify and hold harmless Growwly and its owners, employees, and affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights (including YouTube's Terms of Service).


12. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that violates these Terms or is otherwise harmful to other users, us, or third parties. You may terminate your account at any time by contacting us or through account settings. Upon termination, your right to use the Service ceases immediately; provisions that by their nature should survive (e.g., IP, disclaimers, liability limits, indemnification) will survive termination.


13. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified via email or an in-app notice at least 14 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.


14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any disputes arising out of these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, United States, unless otherwise required by applicable consumer protection law in your country of residence.
